Terms of Service

Please read these terms carefully. They explain the rules for using Upkeepery, including that the app is free because it is supported by advertising and data sharing as described in our Privacy Policy.
1. Acceptance of these terms
These Terms of Service (the “Terms”) form a binding agreement between you and Upkeepery (“Upkeepery,” “we,” “us,” or “our”) governing your access to and use of the Upkeeperywebsite, applications, and related services (together, the “Service”). By creating an account, checking the acceptance box, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old to create an account or use the Service. By using the Service, you represent and warrant that you are 18 or older and that the information you provide is accurate and complete. The Service is not directed to children, and we do not knowingly collect information from anyone under 18.
3. A free, ad- and data-supported service
The Service is provided free of charge. We are able to offer it for free because we collect information about you and your use of the Service and monetize it through analytics, advertising, and the sharing of certain de-identified and pseudonymized identifiers with third parties. In plain terms: instead of paying money, you allow us to use and share data as described in our Privacy Policy. You should read the Privacy Policy carefully before accepting these Terms.
4. Your account
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or other users.
5. Your content
You retain ownership of the asset records, photos, documents, and other content you add to the Service (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and process Your Content solely as needed to operate, secure, and improve the Service and to provide it to you and to people you invite. You are responsible for ensuring you have the rights to any content you upload.
6. Acceptable use
You agree not to:
- use the Service for any unlawful, harmful, or fraudulent purpose;
- upload content that infringes others’ rights or violates any law;
- attempt to gain unauthorized access to the Service, other accounts, or our systems;
- interfere with or disrupt the integrity or performance of the Service; or
- scrape, resell, or commercially exploit the Service except as expressly permitted.
7. Third-party services
The Service integrates with third-party providers (for example, authentication, email delivery, hosting, and analytics and advertising partners). Your use of those integrations may be subject to the third party’s own terms and privacy practices, and we are not responsible for them.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Maintenance reminders, cost estimates, and other outputs are provided for convenience only and are not professional advice. You are responsible for the care of your own assets.
9. Limitation of liability
To the fullest extent permitted by law, Upkeepery and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or related to your use of the Service. Because the Service is free, our total aggregate liability for any claim relating to the Service will not exceed one hundred Canadian dollars (CAD $100).
10. Indemnification
You agree to indemnify and hold Upkeepery harmless from any claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and governing law) will survive.
12. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email and, where required, ask you to accept the updated Terms. Your continued use after an update means you accept the revised Terms.
13. Governing law
These Terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in the Province of Quebec, Canada for any dispute that is not subject to mandatory arbitration or small-claims resolution.
